Type of Engagement PrivateWeddingCorporate Accommodations Terms & Conditions Verbal Agreement THIS contract is confirmation of a binding verbal agreement between ARTIST and PURCHASER. Physical deliver of this contract shall constitute acceptance by all parties regardless if this contract is signed by either PURCHASER or ARTIST and deposits received by ARTIST. Cancellation CANCELLATION: PURCHASER and ARTIST agree that this agreement is not subject to cancellation. ARTIST will use its best efforts to insure completion of this contract by ARTIST. If, however, ARTIST should be required to cancel the engagement due to various circumstances beyond ARTIST’s control, including refusal of ARTIST to perform, ARTIST shall give notice as soon as possible to PURCHASER and shall either a) make a substitution of equal caliber, b) replay the engagement at ARTIST’S and PURCHASER’S convenience, or c) return the deposit to PURCHASER and cancel this agreement. COMMENCEMENT COMMENCEMENT of engagement together with physical deliver of this contract is deemed to be verification of an oral agreement and acceptance of all terms by both PURCHASER and ARTIST. Recording PURCHASER warrants there will be no recording, reproduction or transmission from the place of the engagement in any manner or by any means whatsoever without the prior written consent of the ARTIST. Artist’s name and likeness may not be used as an endorsement of any product or service or in connection with any commercial tie-up without Artist’s written consent. Re-Booking RE-BOOKING: In consideration of the service rendered by ARTIST in securing this booking, ARTIST and PURCHASER agree to book all performances between the above ARTIST and PURCHASER through ARTIST for a period of 365 days from the performance date set out in this contract. Performance Agreement ARTIST shall have control over the production, presentation and performance of the engagement hereunder. ARTIST shall have the sole right to designate and change at any time the performing personnel. ARTIST’S obligations hereunder are subject to detention or preventions by sickness, inability to perform, accident, Acts of God, riots, strikes, epidemics, and act or order of any public authority or any other cause, similar or dissimilar, beyond ARTIST’S control. Subject To Cancellation If before the date of any scheduled performance it is found that PURCHASER had not performed fully its obligations under any other agreement with any party for another engagement or that the financial credit of the PURCHASER has been impaired, ARTIST may request payment in advance or cancel this agreement with a 30 day notice. Independent Contractor Clause IT is mutually agreed by the PURCHASER and the ARTIST, the ARTIST is acting solely as an independent contractor and is in no way responsible should either party default this agreement. Nor will ARTIST be held responsible for the conduct or performance hereunder of either PURCHASER or ARTIST. Artist Indemnity PURCHASER agrees to indemnify, defend and hold Artist harmless from and against any and all claims, costs or liability for damage or injury to any person or property during Artist’s engagement, including time of set up and take down. Acts herein only as ARTIST or manager for the Artist (s) and assumes no liability hereunder. It is expressly agreed that neither PURCHASER nor ARTIST will name a party in any civil action or suit arising out of, in connection with or related to any acts of commission or omission pursuant to this agreement by either PURCHASER or ARTIST. If Void IF any of the provisions hereof are determined to be void by a court of competent jurisdiction, the remaining provisions hereof shall remain in full force. Laws Per State THIS agreement shall be subject to the laws of the State of engagement and all parties hereto accept the jurisdiction of the said State in all matters pertaining to this agreement. Taxes THIS contract does not exclusively determine the person liable to report and pay employment taxes and similar employer levies under rulings of the U.S. IRS and of some state agencies. PyroTechnics NO pyrotechnics (fireworks) of any kind are allowed during this engagement. Use of same is breach of this agreement as well as may violate certain local or state ordinances.
